This Agreement applies to all vendors, sellers, advertisers, affiliates, influencers, artists, creators, suppliers, agencies, partners, sponsors, merchants, businesses, organizations, and commercial users utilizing any business-related services provided by Futurify.
By creating a business account, uploading content, listing products, advertising services, promoting products, participating in affiliate programmes, participating in influencer programmes, selling products, uploading music, submitting advertisements, or otherwise engaging in commercial activities through Futurify, you agree to be legally bound by this Agreement.
You represent and warrant that:
You possess legal authority to enter into this Agreement.
You are authorized to act on behalf of any business you represent.
All information provided is accurate.
You will maintain accurate records.
You will comply with all applicable laws.
You remain solely responsible for your business activities conducted through the Platform.
Vendors remain solely responsible for:
Product sourcing.
Product quality.
Product compliance.
Product legality.
Product descriptions.
Product specifications.
Product images.
Product warranties.
Customer communications.
Shipping arrangements.
Tax obligations.
Regulatory compliance.
Futurify is not the manufacturer of vendor products and does not independently inspect every item sold.
Vendors assume full responsibility for all listed products.
Vendors may not list products that:
Violate applicable laws.
Infringe intellectual property rights.
Are counterfeit.
Are fraudulent.
Promote illegal activities.
Are deceptive or misleading.
Are unsafe or prohibited.
Futurify may remove listings immediately without notice.
Vendors represent and warrant that all listings:
Are accurate.
Are lawful.
Are current.
Are not misleading.
Vendors shall promptly correct inaccuracies.
Futurify may modify, disable, suspend, hide, restrict, or remove listings that appear inaccurate or non-compliant.
Vendors remain responsible for maintaining accurate inventory information.
Futurify is not liable for:
Overselling.
Inventory shortages.
Supplier stock issues.
Fulfilment failures.
Vendors and suppliers remain responsible for fulfilment obligations.
Futurify shall not be responsible for:
Shipping delays.
Lost packages.
Customs delays.
Carrier errors.
Import restrictions.
Delivery failures caused by third parties.
Vendors agree to assume full responsibility for claims relating to:
Product defects.
Product safety.
Product warnings.
Product recalls.
Product compliance.
Manufacturing issues.
Vendors shall defend, indemnify and hold Futurify harmless against all such claims.
Affiliates shall not:
Use misleading advertising.
Make false claims.
Spam users.
Engage in fraudulent activity.
Manipulate tracking systems.
Generate artificial traffic.
Create fake purchases.
Futurify may reverse commissions where fraud or abuse is suspected.
Commission determinations made by Futurify shall be final.
Influencers agree to comply with:
Advertising laws.
Disclosure requirements.
Consumer protection regulations.
Platform rules.
Influencers remain solely responsible for promotional claims.
Futurify does not guarantee earnings, sponsorships, bonuses, gifts, rewards, visibility, or campaign participation.
Artists and music uploaders represent and warrant that:
They own all uploaded content.
They possess all necessary rights.
Their uploads do not infringe third-party rights.
They have obtained required permissions.
Artists remain solely responsible for:
Royalties.
Licensing.
Publishing rights.
Distribution rights.
Copyright compliance.
Futurify is not responsible for disputes between artists, labels, publishers, distributors, collecting societies, or rights holders.
Video creators remain solely responsible for:
Uploaded videos.
Embedded content.
Music usage.
Copyright compliance.
Defamation risks.
Privacy compliance.
Creators shall ensure they possess all necessary rights and permissions.
Advertisers represent and warrant that:
Their advertisements are lawful.
Their advertisements are truthful.
Their advertisements are compliant with regulations.
They possess all rights required for submitted materials.
Futurify reserves absolute discretion regarding acceptance, rejection, placement, modification, suspension, or removal of advertisements.
Advertising fees do not guarantee:
Sales.
Revenue.
Leads.
Clicks.
Conversions.
Exposure.
Business growth.
Business users warrant that their content does not infringe:
Copyrights.
Trademarks.
Patents.
Design rights.
Database rights.
Publicity rights.
Privacy rights.
Trade secrets.
Business users assume full responsibility for infringement claims.
Business users remain solely responsible for:
Income taxes.
Sales taxes.
VAT.
GST.
Customs obligations.
Import obligations.
Regulatory fees.
Futurify does not provide tax advice.
Futurify may request documentation including:
Identification.
Business registration documents.
Tax documentation.
Ownership verification.
Product verification.
Failure to provide requested information may result in suspension or termination.
Futurify may suspend, restrict, disable, terminate, remove, or permanently ban business accounts where it believes such action is necessary for:
Legal compliance.
Security.
Fraud prevention.
Intellectual property protection.
Consumer protection.
Operational integrity.
Business users agree to defend, indemnify, and hold harmless Futurify and its affiliates from all claims, losses, liabilities, damages, penalties, judgments, costs, expenses, investigations, enforcement actions, and legal fees arising from:
Products.
Services.
Advertising.
Content.
Promotions.
Intellectual property disputes.
Consumer disputes.
Regulatory actions.
Business activities.
This obligation survives account closure and termination.
To the fullest extent permitted by law, Futurify shall not be liable for:
Lost profits.
Lost opportunities.
Lost business.
Lost revenue.
Lost commissions.
Lost advertising value.
Lost traffic.
Lost rankings.
Lost followers.
Lost exposure.
Business users assume all risks associated with commercial use of the Platform.
Futurify reserves the right to:
Modify programmes.
Change commission structures.
Alter platform functionality.
Restrict services.
Remove content.
Suspend accounts.
Refuse service.
At any time where permitted by law.
All provisions relating to liability, intellectual property, indemnification, dispute resolution, warranties, and legal compliance shall survive termination of this Agreement.
